SOFTWARE LICENSE AGREEMENT

By downloading, purchasing, installing or otherwise using the Legendary Gantt control (hereafter referred to as “SOFTWARE”) and/or its related documentation or other materials, you agree to be bound to the terms and conditions of this license agreement.

This license agreement is between you (either company or single entity hereafter referred to as “LICENSEE”) and Legendary Code (hereafter referred to as “COMPANY”).

SOFTWARE PRODUCT LICENSE

The SOFTWARE is protected by applicable copyright laws and international copyright treaties. COMPANY retains all rights not expressly granted to LICENSEE in this agreement.

GRANT OF LICENSE

Legendary Code hereby grants to you a non-exclusive, non-transferrable license to install, copy, use and modify the SOFTWARE only as authorized below.

TRIAL LICENSE

LICENSEE is granted a license for evaluation purposes only. LICENSEE is authorized to install, copy, and use the SOFTWARE for the purpose of testing it and determining if it is appropriate for purchase. You are not allowed to integrate it in to end products or deploy it on any production server for any purpose. You are not allowed to redistribute the SOFTWARE in any capacity.

DEVELOPER LICENSE

A DEVELOPER is defined as a person who works with the code of any product that the SOFTWARE will be integrated with including developers who may not use the SOFTWARE directly. This software is licensed per DEVELOPER. Each licensed DEVELOPER can make use the software on more than one computer.

REDISTRIBUTION RIGHTS

All developer licenses allow royalty free redistribution. You can ship the SOFTWARE as part of a product or solution for commercial software, non-commercial software, or hosted applications. Distributed versions of the SOFTWARE may not be de-coupled from the software they are integrated with.

OTHER RIGHTS AND LIMITATIONS

• SOFTWARE may not be redistributed and sold as a software development component.
• The SOFTWARE may not be distributed for use with products or other software other than those developed by the LICENSEE.
• LICENSEE cannot resell, transfer, lease, rent, or sub-license the SOFTWARE.
• LICENSEE is not allowed to disassemble, decompile or reverse engineer the SOFTWARE.
• LICENSEE is not allowed to attempt to bypass the SOFTWARE functionality notifying that the product is unlicensed.
• LICENSEE agrees to indemnify, hold harmless and defend Legendary Code from any and all claims or lawsuits including attorney’s fees that arise as the result of the use or distribution of any product the SOFTWARE is integrated with.

TERMINATION

The license shall last as long as the LICENSEE uses the SOFTWARE in compliance with this license. This license may be terminated if you fail to comply with any of the terms or conditions of this agreement. In the event that the license is revoked, LICENSEE agrees to remove and destroy all copies of the SOFTWARE.

LIMITATION OF LIABILITY

COMPANY is not liable for any damages arising out of the use of the PRODUCT.

JURISDICTION

This license is governed by the law of the State of Texas in the United States of America.

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
